Carr has been in the role at the UK theme parks giant since 1999 and will remain in the post until a successor is appointed.
Company chairman, John Sutherland, said: “Andrew has been a major contributor to Merlin’s phenomenal growth during this period and to its successful transition to a public company.
“We look forward to working with his successor to further build on this progress.”
Shares in Merlin closed down 1.4% at 442.95 pence on Wednesday.
